Sales Agreement and Deposit Receipt

1) The parties to this agreement are:

2) This sales agreement and deposit receipt is acknowledged and affirmed as being a complete description of all of the terms and conditions of sale concerning the following bird(s) and price:

3) DEPOSIT AND PAYMENT - SELLER hereby acknowledges receipt off from BUYER towards the purchase price of said bird(s) of $_____. Balance owed in the amount of $______ is due in full prior to the bird(s) leaving our home.

4) DELIVERY I PICK-UP - SELLER will notify BUYER when bird(s) is/are ready for delivery/pick- up. BUYER agrees that he/she is solely responsible for all costs associated with delivery or pick up, including: air, cargo, and all other transportation related charges incurred by SELLER. BUYER must have a suitable means to transport any bird when transferred from the SELLER to BUYER. The means of transport must be secure, safe, and weather appropriate.

5) HEALTH GUARANTEE - BUYER acknowledges reading the policy page that is on our website https://www.piedmontparrots.com/policies and attached as well as the household dangers handout written by VCA vet clinic. Due to the fact that unweaned babies require special care from the new owner there are no health guarantees on unweaned babies under any circumstances. BUYER accepts full responsibility for the care of an unweaned baby from the time it leaves our home.

6) Any other terms and conditions not included above or on the policy page of our website, either verbal or in writing, are void and superseded by this agreement. BUYER and SELLER agree that this contract and any and all claims, whether in tort, contract, or any other legal claim, will be governed by Virginia law, without regard to its conflict of law provisions. Further, the BUYER and SELLER agree that the exclusive venue for any claim under this agreement will be a state court located in Prince William County, Virginia, where SELLER shall be entitled to recover its attorney’s fees in addition to any other remedy.

9) NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED IN THIS AGREEMENT, IN NO EVENT WILL SELLER BE LIABLE TO BUYER IN CONTRACT, TORT OR OTHERWISE WITH RESPECT TO ANY CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES ARISING FROM OR RELATING TO THIS AGREEMENT. IN NO EVENT WILL SELLER’S LIABILITY TO BUYER EXCEED THE CONTRACT PRICE.

10) This agreement has been read and understood by both parties hereto, and by executing the Agreement, the parties, expressly intending to be legally bound, agree that all terms and conditions contained herein are acceptable and binding.
